Terms of Service

These Terms of Service (“Terms”) govern your access to and use of agentiveautomations.com and any services provided by Local Biz Digital and Agentive Automations(“we,” “us,” or “our”). By accessing the Site or engaging our services, you agree to these Terms.

1. Services

We provide AI-enabled marketing, automation, and operational software services for local businesses, including the AI teammates described on the Site. The specific scope, fees, and deliverables for any engagement are defined in a separate written agreement, statement of work, or order form between you and us. If there is a conflict between these Terms and a signed agreement, the signed agreement controls.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site or our services. By using the Site you represent that you meet these requirements.

3. Acceptable Use

You agree not to:

• Use the Site or services for any unlawful purpose.
• Attempt to gain unauthorized access to any system, network, or account.
• Interfere with or disrupt the Site, its servers, or its networks.
• Reverse engineer, scrape, or copy proprietary content except as permitted by law.
• Use any AI output we provide to defame, harass, mislead, or harm third parties.

4. Intellectual Property

All content on the Site — including text, graphics, logos, software, and the underlying technology — is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose. You may not reproduce, distribute, or create derivative works without our prior written consent.

5. AI Output and Human Review

Our AI teammates generate drafts and recommendations that are intended to be reviewed and approved by a human. AI output may contain errors, omissions, or inaccuracies. You are responsible for reviewing and approving any AI-generated content before it is published, sent to customers, or used in decision-making.

6. Third-Party Services

The Site and our services rely on or integrate with third-party platforms (e.g., Google, Microsoft, Meta, GoHighLevel, Vercel). We are not responsible for the availability, accuracy, or terms of those third-party services, and your use of them is governed by their own agreements.

7. Fees and Payment

Fees for our services are set out in your separate agreement with us. Unless otherwise stated, fees are billed in advance, non-refundable, and exclusive of applicable taxes. Late payments may incur interest at the lesser of 1.5% per month or the maximum allowed by law.

8. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUT WILL BE ACCURATE OR PRODUCE PARTICULAR BUSINESS RESULTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE NOT PAID US ANYTHING.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party right.

11. Termination

We may suspend or terminate your access to the Site at any time, with or without cause or notice. Provisions that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in New York, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
